1. Acceptance of Terms

By creating an account, accessing, or using SubAudit ("Service"), you agree to be bound by these Terms of Service, our Privacy Policy, and our Cookie Policy. If you do not agree to these terms, please do not use the Service.

2. About SubAudit

3. Description of Service

SubAudit is a subscription monitoring platform that provides:

• Subscription detection and recurring payment monitoring
• Direct debit visibility
• Renewal reminders
• Spend insights
• Cancellation guidance
• Detection of subscriptions from connected email accounts (with your consent)
• Community-aggregated pricing information
• Subscription data export

Important disclaimer: SubAudit does not initiate payments, cancel direct debits, or act as a financial services provider. SubAudit provides monitoring, visibility, and informational guidance only. Any actions to cancel or modify subscriptions, direct debits, or standing orders must be taken by you directly with the relevant provider or your bank.

The Service is available via web at https://subaudit.app and through mobile apps. Features may be updated, modified, or discontinued with reasonable notice when possible.

4. Eligibility

You must be at least 16 years old to use SubAudit. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

5. Account Registration and Security

• You may register using email/password, Google Sign-In, or Apple Sign-In
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• Notify us immediately at support@subaudit.app if you suspect unauthorised access to your account
• We reserve the right to suspend or terminate accounts that violate these Terms

6. Linked Email Accounts and Permissions

When you connect an email account (such as Gmail), you grant SubAudit permission to:

• Access your emails in read-only mode to detect subscription-related messages
• Extract subscription details (service names, prices, dates) from those emails
• Store OAuth tokens to maintain your connection

You may unlink email accounts at any time from your Account page. Once unlinked, no further scanning will occur on that account.

7. Bank Connection Terms

When you connect a bank account, the connection is provided through Salt Edge, a regulated bank connectivity provider. By connecting your bank, you acknowledge that:

• The connection provides read-only visibility of your account information and transaction history
• SubAudit uses this data solely to identify recurring payments, direct debits, and subscriptions
• You authenticate directly with your bank via a redirect-based flow operated by Salt Edge – SubAudit never sees or stores your bank login credentials
• SubAudit cannot initiate payments, transfer funds, set up or cancel direct debits, or modify your bank account in any way
• You may disconnect your bank at any time from the Account page, which immediately stops data retrieval
• Salt Edge is authorised under applicable financial regulations to provide account information services

8. User Responsibilities

You agree to use SubAudit in a lawful and respectful manner. You will not:

• Attempt to access other users' data or accounts
• Interfere with or disrupt the Service or its infrastructure
• Use automated tools to scrape, crawl, or extract data beyond normal usage
• Upload malicious content or attempt to compromise security
• Use the Service for any illegal purpose
• Abuse the email scanning or bank connection features for purposes other than subscription monitoring

9. Privacy

Your use of SubAudit is also governed by our Privacy Policy, which describes how we collect, use, and protect your information in accordance with UK GDPR and the Data Protection Act 2018.

10. Third-Party Services

SubAudit integrates with third-party services including:

• Google APIs: For Gmail authentication and email scanning. Your use is also subject to Google's Terms of Service.
• Salt Edge: For bank connectivity and account information services via redirect-based flow.
• Apple Sign-In: For Apple authentication. Your use is subject to Apple's terms.
• Email providers: For transactional emails (SendGrid/SMTP)

We are not responsible for the practices or policies of these third-party services.

11. Intellectual Property

The SubAudit service, including its design, features, and content (excluding user data), is owned by SubAudit and protected by applicable intellectual property laws. You may not copy, modify, or distribute our proprietary materials without permission.

Your subscription data remains yours. You retain all rights to the information you provide to the Service.

12. Disclaimer of Warranties

SubAudit is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding:

• The accuracy or completeness of detected subscriptions or recurring payments
• Uninterrupted or error-free operation of the Service
• The fitness of the Service for any particular purpose
• The completeness of bank transaction data retrieved via Salt Edge

Subscription data parsed from emails or bank transactions may contain errors. Use insights for informational purposes and verify important financial information independently. SubAudit does not provide financial advice.

13. Limitation of Liability

To the fullest extent permitted by applicable law, SubAudit and its operators shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or goodwill
• Any damages arising from your use of or inability to use the Service
• Any third-party conduct or content
• Any missed renewal dates, unexpected charges, or financial losses resulting from reliance on SubAudit's monitoring or insights

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under English law.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

14. Termination and Account Deletion

• You may delete your account at any time from the Account/Profile page
• Upon deletion, your subscriptions, alerts, linked email tokens, bank connections, and personal data will be removed
• We may suspend or terminate your account if you violate these Terms
• Alternatively, you may request account deletion by emailing support@subaudit.app

15. Changes to the Service and Terms

We may modify SubAudit's features or these Terms at any time. Material changes will be communicated via the app or email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also have rights under the laws of the country in which you reside, and nothing in these Terms affects your statutory rights as a consumer.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
