Terms of Service

1. The service

SubAudit is a workspace-based expense, invoice and receipt record service operated by SUBAUDIT LTD (Company No. 17403240), registered in Dartford, Kent, United Kingdom. Director: Saikiran Chintha.

You create a workspace for each purpose (for example Personal, Project, Rental Property, Business or Subscriptions) and forward invoices and receipts to that workspace's private email address or upload them directly. SubAudit extracts the supplier, date, amount, tax or VAT, invoice number and currency from the document where it can, so you can review and correct the record instead of retyping it. The workspace keeps its own expenses, categories, suppliers and documents, and nothing is ever merged across workspaces without your action.

SubAudit helps you prepare clear digital expense and invoice records that can be shared with your accountant or exported into compatible accounting or tax software. SubAudit is not a bank, payment institution, payment service provider or financial adviser. The service does not initiate payments, move customer funds, amend direct-debit mandates, create payees or otherwise operate your bank account.

SubAudit helps you keep MTD-ready records: it groups your records into the UK tax quarters used for Making Tax Digital for Income Tax. It does not make you MTD-compliant, does not submit records to HMRC on your behalf and does not replace an accountant. Where bank connectivity is offered as an optional feature, it is described in section 3 of the Privacy Policy and is subject to additional terms.

2. Eligibility and your account

You must be at least 18 years old and capable of entering into a binding contract. You must provide accurate registration information, keep credentials confidential and notify us promptly of suspected unauthorised access. Multi-factor authentication may be required before sensitive operations such as exporting records, changing your email address or deleting your account. You are responsible for activity carried out through your account except where caused by our breach of these terms.

Workspaces and shared features may allow other authorised users (such as an accountant or team member) to view information you choose to share. You remain responsible for the permissions you grant.

3. How records and optional features work

The core of SubAudit is your workspaces. Each workspace has its own private email address for forwarding documents. A document you forward is filed in that workspace only. You can upload PDFs, images and email forwards, and reviewed records can be exported as CSV or JSON for your accountant or compatible tax software.

OCR (document text extraction) and other document-processing features are provided by SubAudit and its processors. Records are kept for as long as your account is active and for the retention period described in the Privacy Policy.

Optional bank connectivity. SubAudit does not require a bank connection to work. Where a bank-link feature is offered, it is an optional add-on for users who want help populating a workspace from their transaction history. When offered, bank connectivity is provided through Finexer for UK bank connections (and, where supported, Setu (Account Aggregator) for Indian bank connections under the Account Aggregator framework). Bank-link access is strictly read-only Account Information Services. SubAudit never captures online-banking credentials and cannot move funds or change mandates. You may disconnect a bank link at any time; disconnect revokes the provider token where supported, clears the stored access token and removes the local connection record. Bank-link availability depends on the provider and your bank.

4. Fees and payment

Subscription fees, renewal terms and optional charges are shown before purchase and billed via Stripe (web) or the applicable mobile store / RevenueCat entitlement where you subscribe on iOS or Android. Fees are payable in advance unless stated otherwise. Bill Support, including bill negotiation, is included in eligible subscription plans without a separate charge. Statutory cancellation and cooling-off rights are not affected.

5. Information and third parties

Information displayed by SubAudit is provided for general information and account-management purposes. It may be incomplete, delayed or dependent on data supplied by you, your suppliers or third parties. You remain responsible for checking that your records are complete and accurate. Third-party services are subject to their own terms and policies.

Infrastructure supporting the service includes Vercel (web and serverless API), Render (background workers), Neon PostgreSQL (primary database) and Upstash Redis (cache and queues).

6. Suspension and termination

You may close your account in product settings. Closure cancels future SaaS renewals where we control billing, revokes bank connections where supported and deletes user-associated records as described in our Privacy Policy.

We may suspend or terminate access where reasonably necessary to protect the service or users, prevent fraud, comply with law, or address a material breach. We will give notice where reasonably practicable. Clauses that by their nature should survive termination will do so.

7. Liability

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, we are liable only for foreseeable loss or damage caused by our breach or negligence. We are not liable for loss that is not foreseeable, pure business losses where you use the service as a consumer, or loss caused by events outside our reasonable control (including payment, hosting or email-provider outages).

8. Governing law, complaints and contact

These terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except where mandatory consumer law provides otherwise. Complaints: support@subaudit.app. Privacy complaints may also be escalated to the ICO (Ref: ZC233463) at ico.org.uk.
